Japan’s Macnica to Buy 50.1% of Dubai Cybersecurity Firm CyberSec IT Consulting

Japanese technology trading group Macnica Holdings has agreed to buy a 50.1% stake in Dubai-based CyberSec IT Consulting to expand its cybersecurity services business in the Middle East and Africa, the Tokyo-listed company said on Friday, October 16.

Macnica, Inc., a wholly owned subsidiary of Macnica Holdings, signed the share purchase agreement on October 16. The deal is scheduled to close in late November 2026, when CyberSec will become a consolidated subsidiary of the group.

The acquisition price was not disclosed, in line with confidentiality obligations agreed between the parties. Macnica will acquire 501 shares carrying 50.1% of the voting rights. It holds no shares in the company today.

Macnica said the impact of the transaction on its consolidated financial results is expected to be immaterial.

CyberSec was established in 2019 and has its office on Sheikh Zayed Road in Dubai. It provides managed security services, security consulting, training, resident engineer services, and implementation and technical support, mainly in the Middle East and Africa.

The UAE company already has a business relationship with companies in the Macnica group, the Japanese company said. CyberSec is expected to change its corporate form before the share transfer closes.

Macnica said it aims to combine CyberSec’s engineering talent and service delivery capabilities with its own customer base, product portfolio and sales network. The group is shifting toward a model that pairs product sales with services such as implementation support, training and technical support.

Macnica has made cybersecurity its main business pillar after semiconductor wholesale and has set a sales target of 230 billion yen by fiscal 2027, Nikkei reported.

The deal is Macnica’s second cybersecurity acquisition in the region. In 2023, it agreed to buy CyberKnight Technologies, a Dubai-headquartered cybersecurity distributor founded in 2019 that operated in the UAE, Saudi Arabia, Qatar, Kuwait, Egypt and Jordan, Macnica said at the time.

Macnica, Inc. was founded in 1972 and is based in Yokohama. It handles semiconductors, electronic components and cybersecurity products, and its parent is listed on the Prime market of the Tokyo Stock Exchange.
